Transmission whine is due to worn out bearings in the transmission. I don't know how a rebuild kit (means what?) in the engine could affect transmission operation, but maybe I'm missing something. The reason it doesn't whine in 4th is that that's a sort of 'direct drive" situation in the transmission and it doesn't load the countershaft bearings, which are the noisy ones. This is typical of worn out transmission bearings. You probably should replace the transmission fluid and may get some more life out of the trans, and may reduce the noise. Otherwise, you need a transmission rebuild to repair it. Get it estimated at a transmission shop or a Ford specialist.
